Adjunct Faculty, Wayzata Investment Partner

Steven M. Adams was a founding Partner and General Counsel of Wayzata Investment Partners ("Wayzata"), an investment manager located in Wayzata, Minnesota with approximately $8 billion under management. He was an Investment Principal with the predecessor business to Wayzata, which was part of Cargill Financial Services Corporation. Prior to that, he was a Senior Attorney in the Law Department of Cargill, Inc. and worked as an Associate at Dorsey & Whitney in Minneapolis. He is presently Chairman of the Board of Directors of Arrow Sheds Holding LLC in Wayne, New Jersey and was previously Chairman of the Board of Special Devices, Inc, in Mesa, Arizona until that company was sold in 2012. He is also a member of the Board of Trustees of the Lutheran Social Services Foundation of Minnesota and Chairman of the Foundation Investment Committee. Steve and his two partners were the owners of Tsar Tops Dancer, winner of the 2010 Minnesota Derby at Canterbury Park.

| Description of course 887 : | This course will examine the planning, negotiation and completion of mergers and acquisitions. While the legal and business terms of typcial acquisition agreements (which may have applicability to many business transactions) will be covered, the M&A process itself will be made clear in a practical sense. The evolving duties of corporate manage- ment in both friendly sales and hostile takeovers will be explored. Prerequisite: LAWS 700 | |||
